Terms & Conditions of Contract

Airee Group Ltd (“the Company”)

1. Definitions

Company
Airee Group Ltd, including employees, subcontractors, and authorised representatives.

Customer
The person, homeowner, landlord, developer, or organisation purchasing the Works.

Works
The supply, installation, commissioning, and handover of the Air Source Heat Pump system and any associated mechanical, electrical, or plumbing works detailed within the accepted proposal.

Equipment
All plant, components, and materials supplied, including (but not limited to) the heat pump unit, cylinders, buffers, emitters, controls, pipework, and electrical infrastructure.

2. Scope of Works

2.1 The Company shall carry out the Works as detailed within the accepted quotation or proposal.

2.2 Works may include where specified:

  • Air Source Heat Pump supply and installation

  • Hot water cylinder or thermal store

  • Buffer vessels

  • Radiator upgrades

  • Underfloor heating integration

  • Pipework alterations

  • Electrical works and wiring

  • System controls and zoning

  • Commissioning and system handover

2.3 Any works not expressly listed are excluded unless agreed in writing.

3. Surveys, Heat Loss & System Design

3.1 All installations are subject to a detailed technical survey and room-by-room heat loss calculation.

3.2 The system heat loss calculation and design specification will be completed by our MCS umbrella provider, Heat Pump Go, in accordance with MCS MIS 3005 standards and industry best practice.

3.3 This design process includes:

  • Room-by-room heat loss calculations

  • Flow temperature design

  • Heat pump sizing

  • Emitter suitability assessment

  • System performance modelling

3.4 All final equipment selection, system sizing, and performance outputs will be based on this independent MCS-compliant design.

3.5 System design will also consider:

  • Property construction and insulation levels

  • Required internal temperatures

  • Existing heating infrastructure

  • Electrical supply capacity

3.6 Should survey findings or heat loss assessments identify requirements that differ from initial assumptions (including but not limited to radiator upgrades, insulation improvements, or system resizing), the Company reserves the right to amend system design, scope of works, and associated costs accordingly.

4. Planning & Statutory Permissions

4.1 Most ASHP installations fall under Permitted Development; however, the Customer is responsible for confirming planning compliance.

4.2 The Customer must obtain where applicable:

  • Planning permission

  • Listed building consent

  • Conservation area approval

  • Landlord or freeholder consent

4.3 The Company accepts no liability for planning refusal or enforcement.

5. DNO & Electrical Approvals

5.1 Electrical notification or approval from the Distribution Network Operator (DNO) may be required.

5.2 Installation timelines may be impacted by grid approvals outside the Company’s control.

6. Programme & Timescales

6.1 Installation dates remain provisional until:

  • Deposit payment is received

  • Survey is completed

  • Equipment is procured

  • Required approvals are secured

6.2 The Company is not liable for delays caused by:

  • Weather conditions

  • Supplier or manufacturer delays

  • Network operator approvals

  • Unforeseen structural issues

  • Access restrictions

7. Customer Responsibilities

The Customer shall:

  • Provide safe and clear access to work areas

  • Ensure adequate working space internally and externally

  • Provide water and electricity supply

  • Remove valuables and fragile items

  • Secure pets

Delays arising from site readiness may incur additional charges.

8. Existing System Condition

8.1 The Company will connect to existing heating and plumbing systems where feasible.

8.2 The Company is not responsible for pre-existing faults in:

  • Pipework

  • Radiators

  • Valves

  • Electrical systems

  • Controls

Remedial works required will be chargeable.

9. Performance & Running Costs

9.1 System performance depends on:

  • Property insulation

  • Heat emitter sizing

  • Occupancy patterns

  • Weather conditions

  • Energy tariffs

9.2 The Company does not guarantee specific savings or running costs unless confirmed in writing.

10. Noise & Unit Positioning

10.1 External unit placement will be agreed during survey.

10.2 All systems comply with UK acoustic regulations; however, operational noise is inherent and accepted by the Customer.

11. Electrical & Ancillary Works

11.1 The Company will undertake necessary electrical and mechanical integration as specified.

11.2 Consumer unit upgrades or supply alterations are excluded unless stated.

12. Payments

Unless otherwise agreed:

  • 10% Deposit – Secures project and equipment

  • 30% Pre-installation payment

  • 40% Installation stage

  • 20% Commissioning and handover

Late payments may delay project progression.

13. Variations

13.1 Customer-requested changes post-acceptance constitute a variation.

13.2 Variations must be agreed in writing and may affect:

  • Price

  • Programme

  • System specification

14. Commissioning & Handover

Upon completion the Company will provide:

  • Full system commissioning

  • Operational demonstration

  • Handover documentation

  • Warranty information

  • MCS certificate (where applicable)

15. MCS Certification & BUS Grant

15.1 MCS Certification

Where installations are completed under the Microgeneration Certification Scheme (MCS):

• Certification will be issued following commissioning and handover
• Installations will comply with MIS 3005 standards and associated guidance

15.2 Boiler Upgrade Scheme (BUS)

Where the installation is eligible for support under the Boiler Upgrade Scheme:

• The Company will invoice the Customer for the full contract value as detailed within the accepted proposal
• The BUS grant currently valued at £7,500 is administered by Ofgem on behalf of the UK Government
• Grant payments under this structure are paid directly to the Customer and not to the Company

15.3 Grant Payment Process

The Customer acknowledges and agrees that:

• The BUS grant operates as a post-installation reimbursement
• Grant funds are released only after installation, commissioning, and MCS certification
• Payment timelines are controlled by Ofgem and are outside the Company’s control

15.4 Eligibility & Liability

BUS eligibility is subject to Government criteria including but not limited to:

• Property EPC requirements
• Insulation compliance
• System design compliance
• Homeowner eligibility

The Company accepts no liability for grant rejection or delay arising from:

• Customer ineligibility
• Property ineligibility
• EPC or insulation failures
• Changes to Government policy

15.5 Contract Value Protection

In the event that:

• The BUS grant is rejected
• The grant value changes
• Payment is delayed
• The Customer withdraws from the scheme

The full contract value remains payable by the Customer, and no reduction in contract price shall apply.

16. Warranties

16.1 Manufacturer warranties apply to supplied equipment. Typical periods:

  • Heat pump units: 5–7 years

  • Cylinders: up to 25 years

  • Controls: 1–3 years

16.2 Workmanship warranty: Minimum 2 years.

16.3 Exclusions include:

  • System misuse

  • Lack of servicing

  • Third-party modification

  • Accidental damage

17. Servicing & Maintenance

17.1 Annual servicing is recommended and may be required to maintain manufacturer warranties.

17.2 Ongoing maintenance is not included unless part of a service agreement.

18. Access Equipment

18.1 Scaffolding, lifting equipment, or specialist access is excluded unless stated.

18.2 Additional access costs arising from site conditions will be chargeable.

19. Cancellations & Cooling-Off Period

19.1 Domestic Customers receive a 14-day cooling-off period under the Consumer Contracts Regulations 2013.

19.2 If cancellation occurs after equipment procurement, reasonable costs will be deducted.

20. Title & Ownership of Goods

All equipment remains the property of the Company until paid for in full.

21. Limitation of Liability

21.1 Liability is limited to the contract value.

21.2 The Company is not liable for:

  • Energy price fluctuations

  • Loss of income

  • Indirect or consequential losses

  • System misuse

22. Force Majeure

The Company is not liable for delay or failure due to events beyond its control including:

  • Severe weather

  • Supply chain disruption

  • Government restrictions

  • Utility outages

23. Governing Law

This contract is governed by the laws of England and Wales.

24. Acceptance

Acceptance is deemed when any of the following occur:

  • Signed quotation or proposal

  • Deposit payment

  • Written instruction to proceed
